Tenure of auditor in case comp doesn't fall under sec 139(2)

Can an individual auditor be appointed after a period of completion of 5 years in a company which does not fall u/s 139 (2) after a period of 5 years ?Or cooling period of 5 years is applicable for them as well ?...if not then what difference does it make if company is eligible for rotation or not?

Can be reappointed for a term of five years.

What extra privilege does a company gets if it is covered u/s 139(2) over a company not covered u/s 139(2)?
