At present TDS Certificate issued by Our Company are signed by our Director.
Now because of Heavy work load he wants to give this authority to an General Manager (Employee).
Is any requirement of Board Resolution for the same according to Company Law or Income Tax Law?

You have to pass a resolution in the board to that effect under companies act and inform your tds officer about the change and your general manger will become the deemed officer for income tax purposes.
