Suitable e -form for submitting updated MOA/AOA

29 October 2009 When a Company alters name/capital,then it needs to submit altered copy of AOA/MOA, then which e-form is used for this submission ?? Whether it can be filed as an attachment to eform 23(Name Change)or eform 5(Capital Change) or e-form 62 ???Pls guide.....

29 October 2009 Hello,

In case of alteration of capital like increase in authorised capital form 5 is required to be submitted with ROC.

In form 5 you have to attach altered stampd MOA. Physical copy of MOA also required to be submitted with ROC in this case.

29 October 2009 For change of name of the company special resolution is required to be filed with roc as desired by section 21.

Whenever you pass special resoluton in company law such special resolution is required to be registered with ROC under section 192(4).

So in change of name of the company file form 1A + 1B + 23. Attach altered MOA with form 23.

Attachments of form 23 would be:

1. Notice of GM with explanatory statement
2. Altered MOA and AOA

Thanks for the quick reply.I have one more query .What is the correct way of paying stamp duty in relation to form 5 ?? Attaching altered stamped MOA OR stamped form 5 as attachment to eform 5 or both are correct ????.
