What is the procedure for creation of subsidiary by listed company? What are the legal requirements to be fulfilled?

Two options
1. Holding the atleast 51% of paid up share capital of the another company
2. Having controlling powers in Borad of directors of anohther company
if any one of the option is satisfied the said company called subsidiary company of your company
