My Qurey is this
My Clients Company has a registered address of nalla Sopara,
& now It wants to shift it to the Goregaon
so kindly give me a Format of Special Resolution Format including EXPLANETORY STATEMENT

11 July 2009 If nalla sopara and goregaaon both are in mumbai and pin starts from same postal limit, there is no need to pass special resolution, it can be done by board resolution, otherwise pass the following:

"RESOLVED THAT the registred office of the Company shifted from --- (existing place) to --- (new place) w.e.f. _______. "
File form 18 & 23 within 30days.

You have to convene general meeting also. The expalantory statment may be as under:

Considering the business requirement and smoothness in the operation, the board is of the opinin that registred office of the Company be shifted from ____ to _____. This will increase the efficiency, controlling and save cost to the company. Accordingly, the board moves the same to the shareholders to accord their apporval as special resolution.

None of the director/except Mr._________, is interest in this resoltion.
