appointment of the small shareholders director shall be made either suo moto or upon receipt of notice from the small shareholders. My query is whether permission as per section 259 is required if the limits exceeds the maximum number 12.

Yes. Please refer rule 8 of The Companies(Appointment of the Small shareholders' Director)Rules,2001.

E-Form 24 shall be filed for taking approval of CG if the number exceeds beyond 12. AOA, without approval of CG can not provide Directors limit beyond 12.
