02 April 2010 a small share holder director is appointed by small share holder.

however such director can be removed by general resolution in AGM u/s 284 ?

than what is the overall result of the provision of small shareholder director ?

because major shareholder, after appointment of director can remove such person at any time when he wishes to do so.

02 April 2010 Your observation is very true.

This provision is not a useful or full proof provision for safeguarding the interest of small shareholders.

Appreciate further the word MAY used under section 252(1) makes it a bit difficult for small shareholders to fight for there right as this appointment is not made mandatory by law.
