20 November 2010 Dear All,
With regard to the sitting fees to director, i need help on the following queries:
1. Is it possible to waive the sitting fees of a director?
2. Can different sitting fees be paid to different directors?
3. Does the Chairman has the power to with hold the sitting fees of a director?
4. Suggest some companies who pay different sitting fees to different directors.

please advice.

20 November 2010 Clause 49 requires that criteria for remuneration should be disclosed. If one opts for different amounts to be paid as sitting fees to different directors, I think, criteria for this different treatment needs to be disclosed and justified.
