02 December 2010 Can the company pay sitting fee within the limit of Rs. 20000/Rs.10000 to its chairman even if he could not be present in a Board Meeting? Is it required to be mentioned in the minutes of Board Meeting approving sitting fees?

03 December 2010 sitting fees is paid for attending Board/Commitee meeting as approved within the limit prescribed. If Director is absent, you can't pay sitting fees.
