Dear Sir,
Can you guide me on the following matter:
1) Pvt. Ltd. Company have 2 Director
2) 1 director want to transfer shares
Question:
1)Whats procedure to transfer ?
2) Whether require to intimate to ROC ? if yea whats time period.
3) Incoming person willing to become director, then wa\hats stepes to be taken
Pls treat urjently.

Procedure
------------
1. prepare a share tran. deed i.e. get it signed from transferor & transferee and stamped it.
2. hold a board meeting for approving the transfer in favour of transferee.
No need to intimate ROC. When you file Annual Return mention this transfer in Annual Return.
For sample BM minutes for transfer send me a test mail at "ankur_gargcs@rediffmail.com"

Procedure for appointment of director
1. First collect DIN No. of proposed director and get it approved from MCA.
2. Collect consent letter from the proposed director. (Recommended but not compulsory)
3. Convene a Board Meeting for appointment of director
4. Download Form-32 from www.mca.gov.in
5. Fill form-32 and get it certified from a PCS/PCA and upload the same on MCA site for ROC filing with in 30 days from the date of Appointment of director (Board Meeting).
