18 July 2009 u/s 146 of the act it is given that after change in R.O. with in local company have to substitute new address for the old address whereever it appears ,including the name board and all officiak publication.

now, whether co. hav to also substitute the new address in share certificates which are kept with the shareholders.

No.

It is not required to substitute the new address in share certificates which are kept with the shareholders.

You can do one thing prepare stickers with the new R.O. of the company and get them approved by the board and send them to the existing shareholders of the company for pasting on the share certificate.

18 July 2009 Also note one more thing the practice i have suggested you is legal.

As our Registrar and share transfer Agent (RTA) follow the same practice in case of change of name of our company.
