16 April 2010 if a public company appoints as director in the company who is son of the MD of the company; will section 314 applicable?

16 April 2010 Son is a 'relative' as per schedule 1A. If a relative is appointed as a director either approval in general meeting with a special resolution or approval of the Central government is required depending on the remuneration fixed by virtue of the provisions of section 314.
