18 February 2012 In provision "draft resolution with necessary paper are sent to ALL DIRECTORS for time being present in India......

DOES IT NEED TO BE SENT TO INTERESTED DIRECTORS ALSO ...IF ITS A PUBLIC COMPANY WHEN THEIR VOTE WOULD BE VOID SEC 300

18 February 2012 Yes ALL DIRECTORS includes Interested directors also. You have to send the draft resolution with necessary papers to all directors including Interested Director though they are not entitled to vote.

Interested Director is not entitled to take part in the discussion & vote in the matters in which they are interested. However they can very well attend the meeting in the capacity as a director.
