23 June 2015 Dear Sir,

Please Clarify: I am a company secretary of a public company having a paid up share capital of less than 5 crore rupees whose form 32 was filed under the provisions of Companies Act, 1956. will I be regarded as a KMP under section 203 read with Section 2 (51) of the companies act, 2013?

You are a KMP read with section 2(51) i.e. definition of KMP given in Companies Act, 2013.

Please clarify, what are the compliances that i have to meet as i have not been appointed under the provisions of Companies Act, 2013?

06 July 2015 As per my opinion nothing is to be filed for a CA appointed through filing of form 32 in CA 1956.

On a safer side you may pass a BR as per CA 2013 and file form DIR.12.
