thanks for the clarification and explanation given in respect of the resolutions for bonus issue. i have gone through the sec 192. to my understanding of sec 192 all the 3 resolutions for bonus issue are not to be filed with roc. is it right?

31 March 2010 You are right. There is no role of section 192.

If u r following the route of regulation 96 than u have to pass an ordinary resolution for shareholders approval (O.R. coz 96 is silent about approval through S.R.) and for ordinary resolution there is no need to file form 23.

Also check your own AOA if SR is required for bonus issue. Just file form 2 after allotment.
