Sir,
I need to file Annual return of a private limited co.I need the list of attachments to be filed with form GNL-2 (Auditors Appointment) 23AC, 23ACA, MGT-14.
Do i need to fill Form MGB-7 for annual return filing?
Need clarification ASAP.

1) Annual return (fin.yr 2013-14) may be filed in e-form 20B attaching therewith SCHEDULE V of the Companies Act,1956.
2) Auditors appointment has to intimated by e-filing of ADT-1 (not through GNL-2) with effect from 20-10-2014.
Attachments to e-form ADT-1 are
a) copy of intimation letter issued to auditors.
b) copy of consent and eligibility certificate issued by the auditors and
c) certified copy of the resolution appointing the auditors.
3) Attachments to e-form 23AC are
a) audited balance sheet with notes on accounts.
b) audit report.
c) director's report
d) notice of AGM.
4) Attachment to e-form 23ACA is audited P & L account and notes on account thereon.
5) Attachment to MGT-14 is the certified copy of the board of directors resolution approving the accounts and for onward submission to auditors for audit.

Regarding Auditors Appointment from 20th Oct 2014 you need to file form ADT-1 instead of GNL-2. The documents to be filed with ADT-1 are as follows : 1.Intimation of appointment of Auditor. 2. Acceptance letter received from Auditor & 3. Resolution passed @ AGM/EGM.
Attachments to 23AC as follows :
Complete set of financials i.e., B/s, P&L, Auditors report & Directors report etc.
Attachments to 23ACA as follows : P&L
Attachments to MGT-14 are copies of Minutes of Board/General Meetings resolutions.
Above mentioned are mandatory attachments as per my view.
