02 October 2014 One of my client wants to incorporate a Private Limited Company in India. He wants to use the name of his own existing Proprietorship which will exist even after incorporation of the Company.Kindly provide me the format of NOC

06 October 2014 But Sir it is mandatory attachment in INC-1 form if he uses name of proprietorship.
So, please provide me such format....

22 July 2025 Sure! When incorporating a Private Limited Company in India and using the same name as an existing proprietorship, the Registrar of Companies (ROC) requires a No Objection Certificate (NOC) from the proprietor to ensure there’s no conflict.

I, [Full Name of Proprietor], proprietor of the proprietorship firm named [Name of Proprietorship Firm], hereby confirm and give my no objection for the use of the name "[Name of Proprietorship Firm]" for incorporation of the company in the form of [Proposed Name of Private Limited Company] under the Companies Act, 2013.

I understand that the proprietorship business will continue to exist independently even after the incorporation of the Private Limited Company.

I undertake that there will be no dispute or claim against the Private Limited Company on account of the use of the said name.
