21 March 2011 A director wants to retire at the Annual General Meeting and does not want to re-elect. A company decides not to fill up his vacancy.

How to draft AGM notice and AGM resolution

21 March 2011 No need to mention anything in the notice. Simply don't include it in the agenda and no resolution need to be passed in this regard.

21 March 2011 The retiring director term expirts on the date of AGM and in the absence of reelection his office will get vacated. Since no new director is appointed in his place, no resolution need to be passed.
