06 January 2016 Please clarify me on appointment & retirement of directors for private limited co. as per Company act 2013. I want to retire two directors of a company and than want to appoint new director in place of them so what is the exact procedure??

06 January 2016 Take the resignation from director and accept the same in board meeting file dir- 11 on behalf of director call an egm and appoint the new director and then to file dir-12 for both resignation and appointment it is also to be noted that board meeting ang egm should be held in 30days time period so that single dir-12 can be filed.
