Dear Experts,
We have been appointed as the auditor of one pvt ltd company. The company was in state of dormant due to non filing of annual return. We have filed all the returns now company is active. The problem is the MOA & AOA uploaded states orignal 5 subscribers & orignal 5 subscribers as directors where as now only two directors are in charge of company and they are only the share holders.
Can we restate the MOA & AOA subscriber page & signing page and upload the ROC.
What is the procedure for the same.

Can't restate the subscriber page of MOA and AOA as you suggested.

Agree with the expert...
In MOA and AOA, only first subscribers name is written whereas in AOA, first directors are mentioned.

Dear Expert,
The problem is that while uploading the MOA & AOA roc at the time of compilation of data in MCA website roc has not uploaded the page where the present directors who were also inital subscribers of the shares. Now the company is going for loan and want it to get updated so that when it is reviewed by the bank their name should appear in MOA & AOA.

1. For that purpose contact ROC for request to scan old records properly and rectify the mistake.
2. Regarding bank officials, you should obtain copy of search report of your company from CS in practice who will certify details abt first subscribers/ director and present directorship details of company.
