Dear All,
As per section 175 of CA 2013: A resolution by circulation of the Board is to be considered as passed when: (i) if it has been approved by the majority of the members on the Board of the Company (ii) by majority of the directors who are in India (iii) whose Indian address is registered with the Company.
Section 289 of CA 1956 required passing of the resolution by circulation by majority of directors present in India.

For passing of a resolution by circulation, approval is now of majority of directors. It is not now of the directors present in India.
