Even in my opinion it should be passed in previous year,MAINLY WHILE UPLOADING FORM 23AC IT ASKS FOR RESOLUTION NUMBER AND DATE AUTHORIZED BY BOARD OF DIRECTORS TO SIGN AND SUBMIT THE FORM,
