24 February 2017 1. Whether resignation of more than 1 director can be pass by company through single resolution? 2. Whether only one DIN 12 can be filled for both the directors or we have to file separately for each director?

24 February 2017 1. Separate resolution is required.

2. One DIR-12 can be used for multiple occurrence with in 30 days.

24 February 2017 is resignation or removal??? director can resign on there own will..... permission of members in General meeting is not required.....

25 February 2017 As per section 168 , Director can resign from the Company by giving the notice for the same . resignation shall be valid from the date of receiving the notice or date specified in the notice whichever is later. the Board shall took the note of the same and shall note in next Board meeting. Company shall file DIR 12 for resignation of multiple directors by filing single DIR 12 within 30 days of resignation.
But as the Director resignation is made in Board meeting , so there is need for seprate Board resolution.
Section 162 prescribes the appointment of 2 or more persons as the Director by passing single resolution unless such resolution shall be agreed by the majority of members of the Company by casting vote of the same.
But there is no such provision for resignation of director
