ABC Private Limited has two directors.
One director is resigning.
Therefore, the other director proposes to appoint his wife as a director.
Apart from filing of Form 32, what are the formalities / compliances to be done on the matter.

If you are paying salary alongwith form 32 file form 23 registereing the board resolution.
Since there should be 2 directors at any time for a private limited company. First appoint a director and later on allow for resigning of the director.

No need to file form-23 in any case whatsoever for your private company in this matter.
First file form-32 for appointment and only after approval of this form on MCA site file second form-32 for resignation.
