28 June 2012 1. One of my client want to add two new additional director, then what is whole procedure.

2. And he also want to change his registered office address.

3. and he also want to increase authorized and paid up capital.

so please advice me about whole process

11 July 2012 1. For appointment of Addnal Dir. u need a pass a Board Resolution (BR) for his appointment and then file form 32 to ROC within 30 days of the same.
2. To change the Reg. office within local limits just pass a BR for it and file Form 18 within 30 days of passing the resolution.
3. For increase of Auth. cap. U need pass an Ordinary Resolution in General Meeting if Articles of the company permit for increase of capital of the company and then file form 5 to ROC within 30 days of passing OR.
if Articles dont permit then Articles need to be amended by passing Special Resolution in General Meeting. n d further procedure is same.
