Registration in the case of take over of company

26 July 2012 A sate govt undertaking takenover another company which is registered with central excise. The parent company has no registration. Taken over is approved by state govt, but no procedure has been taken as per Companies Act.

1. Whether deregistration of amalgamating company is required and fresh registration of parent company is required.

2. what are the documents required.

3. whether CENVAT credit of amalgamating company is required to be reversed.

please help me with your valuable guidance

26 July 2012 It it MERGER or ACQUISITION? In case of merger, registration is required. If it is acquisition, where the entity is intact, parent company need not take registration. (I hoe you are asking for registration under excise)
