If the postal ballot is conducted in the nov. 2011,and the resolution was considered passed in dec. 2011, Now my query is whether this resolution is valid in the year 2013 also? Means till what time this resolution is valid.

Its depend on the resolution passed under which sections, some section impose restriction on it about their validity.

It will be valid, until you are not crossing the limit as passed by shareholder. You are taking loan in excess of the limit as approved by shareholders in PB then you will go for an other shareholders approval.

Section 293 (1)(a) does not impose any tile line restriction.
