Regarding form dir12

If there are two directors in a pvt ltd company & we want to resign one director & appoint another director, can we file one DIR 12 or do we need to file separate DIR 12?

1. First appoint 3rd Director by filing form DIR.12. Check the link below for procedure:

2. After approval of above form DIR.12, there will be 3 directors in your company.
3. Now file form DIR.12 for resignation of director. Check the link below for procedure:

4. After List of director will be updated on MCA Site and there will be 2 Directors.
5. Finally director is required to file form DIR.11 under his digital signature regarding his resignation.

Thank You Sir. But earlier we used to file one form 32 even when there were 2 directors...so is there any violation of the companies act in this regard.
