Sir/Mam, Our company is incorporated in June 2023. We have filed AOC4 and MGT 7A in the month of Oct 24 by mentioning the Due Date of AGM wrongly as 30-09-2024 instead of 31-12-2024 MGT 7A which was filed is immediately processed, whereas AOC 4 got rejected and sent for re submission, we have filed the AOC 4 again along with clarification letter mentioning the same And could not change the Due date of AGM in AOC 4 due to following error " Details of AGM and due date should be same as specified in MGT 7A filed " and ROC is rejecting AOC 4 again Please suggest and explain process to solve above problem

Here's how you can resolve the mismatch issue between AOC-4 and MGT-7A regarding the AGM due date:
Problem Summary: MGT-7A filed with AGM due date = 30-09-2024
AOC-4 filed with correct AGM due date 31-12-2024
ROC rejects AOC-4 because AGM due date must match MGT-7A.
Why is this happening? The MCA portal cross-checks the AGM due date fields in AOC-4 and MGT-7A. They must be exactly the same for successful filing. Since MGT-7A is already processed with the wrong date, AOC-4 is rejected.
Step-by-step solution: File a Form MGT-7A Correction (if allowed):
Currently, MGT-7A does not have a correction window once processed.
So, you cannot simply correct MGT-7A online.
File a Request for Waiver or Clarification to ROC:
Write a formal letter to ROC explaining the mistake in MGT-7A (wrong due date entered).
Request for acceptance of AOC-4 with correct AGM due date.
Attach the corrected AOC-4 and proof supporting the correct AGM due date (board resolution or minutes).
Contact ROC via Email or Visit:
Submit the letter physically or via email to the ROC office.
Sometimes ROC allows manual intervention and updates the record after your request.
Re-file MGT-7A with Correct Date (if allowed):
If ROC permits, you may have to withdraw or get the MGT-7A struck off and then file it again with the correct date.
This is generally complicated and rare, so approach ROC for guidance.
Wait for ROC approval before re-filing AOC-4:
Once ROC updates or clarifies the records, you can re-submit AOC-4 with the corrected AGM due date matching MGT-7A.
Additional Tips: Keep proof of board resolution fixing AGM date as 31-12-2024 handy.
Explain clearly that due date in MGT-7A was a clerical mistake.
Maintain communication with ROC officers for faster resolution.
