Re-designation & revision of remuneration -Director(URGENT)

10 March 2011 Ours is a pvt Ltd Ltd. The Baord passed a resolution for re-designation of executive chairman as Chairman and Executive Director as Vice- Chairman also their remuenaration has been revised in the same resolution. Also our Articles says to approve remuneration by members also. So we hold EGM also. What will be Roc comliances for the same? Do we will have to file form 32 for redesignation and also form 23 for revised remeneration?

12 March 2011 You must have filed Form 32 when they were appointed as Directors. No need to file it again for redesignation unless the designation is changed as MD or Part-time Directors to Whole Time Directors and the like.

Form 23 is not required for revision in remuneration. For re-appointment of MD and WTD you need to file form 25C. Similarly Form 23 is required to be filed for appointment / re-appointment of MD. However these provisions are not applicable to private companies.
