re appointmment of additioanl director

30 June 2010 Dear Sir/Ma'dam,
can u give me detail procedure with resolution for not re appointment of additional director at AGM, at agm members denied for reappointment of one of my additional Directors, pls give me procedure with resolution.

30 June 2010 Hi,

If at the AGM your members denied the re-appointment of additional director as a regular director then this would be equal to automatic vacation of office of director.

Simply file form 32 for vacation of office within 30 days of AGM.

Revert if there is any doubt.

30 June 2010 The procedure can be in two ways:

1) Do not put the resolution for regularisation of the director in the Notice of the agm. The Director would automatically vacate office at the AGM.

2) If in the notice of the AGM, the resolution has been put for re-appointment. Then do not pass the resolution. Members may disapprove the resolution.

AFter that, the procedure as stated by Expert Ankur should be followed.
