My one client open a private limited company in the month of dec 2014. Till the date he does not appoint Any auditor or not kept any AGM, So please tell me the what should be procedure should I follow now?. what is last due date for ROC compliances. Please give me All details in brief.

06 December 2015 1.Auditor is to be appointed within one month of incorporation by Board of Directors. or else, within 90 days EGM of shareholders to be conducted to appoint auditors. If this is also not done,CG will have right to appoint auditors.So first, prepare minutes for first board meeting after incorporation date and pass a resolution for appointment of first auditors withing 30 days of incorporation. You need not file ADT-1 for this.So no compliance with ROC in this matter.
2.As the company is incorporated prior to 01.01.205, it has to close the accounts before 31.03.2015 and conduct AGM before 9 months of clousre . So maximum allowed time is upto 31.03.2015 for conducting AGM.Instead of waiting for last date, conduct AGM immediately and file MGT-7 and AOC-4 after AGM.If it is a company other than small company, the MGT 7 is to be digitally signed by CS or else, you can file directly.
