as per Section 174 of the Companies Act, 1956, two persons personally present in a general meeting of a private limited company form a quorum. In the case of the meeting of the 100% subsidiary company if the members attened are (1) representative of the holding company u/s 187 (2) proxy of the 2nd holder who hold 1 share as a joint holder of holding company, wherther forms a quorum.
As u r aware that as per Section 174 of the Companies Act, 1956, two persons personally present in a general meeting of a private limited company to form a quorum.
In your case quorum is not there. As rep u/s 187 is a member personally present but proxy is not counted as a member personally present so legally there is only one member personally present in the meeting which is insufficient for quorum.
