28 December 2011 dear sir/madam

i want to convert my limited (unlisted) co. into a private co. pls solve my following quires regarding this:

1) which sections or provisions i should look into for complying the requirements of pvt co.

2) procedural or reporting part as far as i knw(pls corrct me if i m wrong) that reporting or filing part of limited (unlisted) co. & pvt co. is with ROC, no involvement of SEBI, central govt etc authorities is required?????

3) i want to knw provisional difference betn above cos. apart from basic difference???

30 December 2011 Hold an General Meting of Members and pass following Special Resolutions:
- u/s 31 for Alteration of AOA as adopting Restrictions of Section 3(i)(iii) imposed to Private Limited Companies.
- u/s 21 for Change of Name of Company
- u/s 16 of Alteration of MOA
in 30 days File eForm 23
after filling eForm 23, fill the SRN of eForm 23 in eForm 1B and file it

06 January 2012 As per my understanding Form 1B shall not be filed. Form 1B is filed for conversion of Public com. into Pvt Company. And if u r deleting the word "Pvt" from the name, u need not to to take approval of Govt by filing 1B.
