06 May 2009 The section 217 is about the disclosures to be made in Board of Directors report.IS Section 217 applicable to Pvt Ltd co.IF yes,

Suppose chairman is other than MD and the salary paid to chairman is more than MD. Do we need to disclose the same in board report U/s 217(2A) and Notes to account of the company.

07 May 2009 Dear Monil,

Section-217 is applicable to Pvt. Co.

In your case Section-217(2A)(iii) is applicable. As per clause (iii) disclosure is required if 2 conditions are fulfill:

1. Employee drawing remu more then by MD
AND
2. holds by himself or along with his spouse and children not less then 2% of Eq. Shares of the company.

If in your case Chairman is also holding 2% eq sh. then disclosure in board report required.
