16 December 2009 Dear members,

Please provide me the procedure to convert any general partnership firm into LLP.Can FDI be invited in the LLP entity.Also please let me know is there any physical docuemnts have to be filed with LLP authority e.g LLP agreement,etc.

You will got the information regarding conversion of Partnership in to LLP from Website llp.gov.in FAQ. it not possible to describe here its too long.

yes. it is not compulsory but for the future reference and as an valid evidence it is advisable to register the same with authority.

Yes. FDI can be invited by compliance of RBI rules.

A brief guideline for conversion of a firm into LLP would be as follows:
1. Acquiring DPIN (Form 7)
2. Registering Digital Signature
3. Filing for name availability (Form 1)
4. Incorporation (Form 17)
5. Intimation to Registrar of Firms
6. Agreement information (Form 3)
7. Consent of partners (Form 4)
