Can a Non residential Indian (NRI)become a director of a Private Limited Company??
And is there any restrictions set by the RBI on his share holding in the Pvt. Ltd.Company??

yes, as NRI can become a director of a Private Limited Company.......

Yes, NRI can become Director of the Private Company and you can go through FDI (Foreign Direct Investment) Policy of the RBI given on the RBI website. There has to be filed one form for issue of shares to the NRI Director - i.e FCGPR form. You can see the updates from the FDI policy available at the website.
