Notice of AGM and Book Closure

04 May 2011 1. Is it mandatory to publish AGM notice in local News paper?
2. Is it mandatory to publich notice of book closure in Local as well as national newspaper at least 7 working days before the book closure?
Plz suggest.

05 May 2011 No....it is not mandatory to publish the notice of AGM in a newspaper...but the practice generally followed by some Listed Companies is to give a notice of AGM also publishing it in a english daily newspaper circulating in the whole of India and a daily newspaper circulating in the language of the region where the registered office of the Company is situated so that it is brought to the notice of all the shareholders which are scattered throughout the country at the same time even though they may receive the Annual Report later.

Secondly as per the provisions of Section 154 of the Companies Act, 1956 every company whether listed or not is required to publish atleast 7 clear calendar days before the date of book closure/record date, the date of book closure/record date in a daily newspaper publihed in the language of the region where the registered office of the Company is situated.
