Dear Experts.
I want to increase Authorized Capital of A Pvt Ltd Comapny by Rs. 50 Lac.
Present Auhtorized Capital Rs. 50 Lac
Proposed 1 Cr
Date of Resolution 14Aug 2010
I have give notice dated 24July 2010 for convening EGM 14 Aug 2010.
Whether it is correct or not ?

Dear Sir,
Small modification is required regarding date of dispatch of EGM notice read with section 171 and 53.
Date of dispatch of EGM notice should be July 21 read with section 171 and 53.
21 days as per 171
2 days (48 hours) as per 53
Total clear gap 23 days.
Date of dispatch i.e July 21 and meeting date i.e. August 14 will be excluded.

Atleast 23 days (21 days notice and 2 days for dispatch) gap required excluding notice and GM dates.
The same can still be done by calling a GM by giving shorter notice by receiving form 22A from all shareholders for consent for shorter notice.
