Rule 8A of companies (appointment and remuneration of managerial personnel) rules, 2014.
Every company which has a paid up share capital of five crore or more shall have a whole time company secretary.
Suppose if a company do not appoint a company secretary, any penalty?

Minimum fine for the Company is one lakh rupees but which may extend to five lakh rupees and for director and KMP upto fifty thousand rupees and where the contravention is a continuing one, with a further fine which may extend to one thousand rupees for every day.
