I am incorporating a Pvt. Ltd. in which one of the directors in NRI (having PAN).

Please help me with documents to be obtained and process to be followed.

10 October 2020 Documents required:
1. PAN/Passport: Mandatory
2. ID Proof (voter ID/Driving License/Passport): Any One
3. Address Proof: Mobile Bill/ Telephone Bill/ Bank Statement with 2 Months latest transactions) : Any One (Not older than 2 Months)
Documents should be Apostle/ Notarised.
4. DSC
5. Passport size Photo
6. Email Id & Mobile Number for Directors & Company separately
Incorporation Process:
1. Two Names for approval
2. Authorized & Subscribed/Paid-up Share Capital
3. Full Address of place of Registered Office. ( Proof: Utility Bills: Electricity Bill/ Water Bill/ Gas Bill)
4. Premises: if Owned electricity Bill & NOC, if Rented ( Rent Agreement/ Lease Deed/Conveyance Deed)
5. Details of Directors ( Birth Place, Highest Qualification/ Term of stay at residence address, interest of
director in company or LLP if any with board resolution, Share in Capital Subscribed, Designation,
Nationality)
6. TAN/PAN Code
7. If GST Registration is required: 1 cancel Cheque
8. For Opening Bank Account: One signing Authority PAN, Aadhaar, Passportsizw Photo & Signature is
required

Please also guide me about AOA and MOA process.

How do we generate AOA and MOA in such cases ?

Do we have to generate e-AOA and e-MOA and share with clients for apostilling ? Or do we have to prepare offline AOA and MOA (in doc format) ?

Any other special points to be taken care while drafting AOA and MOA.

10 October 2020 As per latest amendments in form Spice now Companies are incorporated in Form SPICE+ which is a web based form i.e e MOA and AOA, You have to first draft the MOA and AOA in word then fill in the web based form after prescrutiny submit the forms and then download for attaching digital signatures. No physical documents are required.

* PF and ESI registration is mandatory for which e-form AGILEPRO has to be filed as a 'linked form'.

* Profession tax registration is mandatory for MAHARASHTRA State.
