Noc for use of office premises by group company

Please provide me a format of NOC by a company to allow another company in its group to use/share its office premises that has been taken on lease.

12 September 2013 In your case one company is allowing the other company to use its premises as registered office purpose. In that case NOC from first company would be required. Now since NOC providing entity is a company, NOC will be in the form of a board resolution of first company.

You are advised to pass a board resolution in the board meeting of first company to allow use of premises by second company as its registered office.

I’ll post the sample resolution shortly for your reference.

12 September 2013 “RESOLVED THAT consent of the board of directors of the company be and is hereby accorded for having no objection in case Prime Medical Private Limited, a subsidiary company of Bharat Arts Limited uses premises situated at ________________________, registered office address of Bharat Arts Limited, as its registered office address and update the same in the records of Registrar of Companies, NCT of Delhi and Haryana.

FURTHER RESOLVED THAT the above resolutions be communicated to the Prime Medical Private Limited and shall remain in force until the same are cancelled or modified by the Board of Directors by another resolution”.
