some ROC forms are required to digitally sign by CA, CS or ICWAI can in Board meeting this matter is require to discuss in a pvt. ltd. co.
if, yes then in minute book it is also require or not?

07 May 2010 No, Though the forms require digital signaute of Professional (CS, CA, CWA), only director who digital sign the same form require the authorisation in the BM and same should be recorded in the Minutes as well. There is no need to discuss the matter of digital signing of the form by professionals.

AUTHORISATION FOR DIGITAL SIGNING FOR MCA

The Board was informed that the since the concept of electronic filing introduced in the Ministry of Corporate Affairs, it was required to authorize some person to sign the statutory forms and returns in digital form. Hence the following resolution was unanimously passed:

RESOLVED THAT Mr. Rajeev Jain, Director or Ms. Anu Jain, Director or Company Secretary of the Company be and is hereby authorised severally to execute, file, and or sign the, forms, returns or documents required to be filed under the Companies Act, 1956 with the Registrar of Companies, Ministry of Company Affairs in digital form or otherwise.
