07 August 2017 no contract is required in the case of a private company, as section 196 (4) & (5) is not applicable on private company. moreover, a simple copy of board resolution and appointed letter with terms and conditions related with the appointment annexed with DIR-12

09 August 2017 if this is a special resolution, then yes. but i think it should not be done through special resolution/ go through the provisions of aoa of the company. however, MR - 1 is exempted as i already mentioned section 196 4 and 5
