no contract is required in the case of a private company, as section 196 (4) & (5) is not applicable on private company. moreover, a simple copy of board resolution and appointed letter with terms and conditions related with the appointment annexed with DIR-12

Whether MR-1, MGT-14 required for voluntary appointment of MD/WTD in pvt ltd company??

if this is a special resolution, then yes. but i think it should not be done through special resolution/ go through the provisions of aoa of the company. however, MR - 1 is exempted as i already mentioned section 196 4 and 5
