Making subsidiary company as individual company

Can any one pls guide me about the procedure for changing a private subsidiary company (holding also a private company) to an individual company.

Also guide about te other legal compliances if any.

In my opinion, any nominee of the Company should purchase the shares from the Holding Company in his individual capacity and after the transfer of shares has been duly effected.....enter the name of the person in the Register of Members...
