As per New companies act 13 CFO and company secretary are included in Key Managerial person.
whether they should be appointed through board and filing of From 32 is compulsory ?
In case their appointment (Norma course) has been made before the introduction of companies act 13, they will be included in key managerial person even without board appoint and submission of Form 32

Hi
Before the applicability of new Companies Act, 2013 you can appoint CFO and CS.
But Form-32 will be filed with ROC only for CS and not FOR CFO.
In Companies Act, 1956 CFO is not defined so we are enable to comment thereon.
In New Companies Act, new Forms has not been implemented.

whether Board appointed CFO only included in Key Managerial person and held responsible for compliance of corporate activities.
in case appointment of CFO made without board approval, they will be included in Key Managerial person and held responsible for compliance of corporate activities?

Yes, you can do so. But in case of listed company you will take board approval on this.
