Can any body please provide me withe the compliances (requirements) in case of issue of warrants by a listed company on prefertial basis to residents and non residents, to be fulfilled under SEBI, FEMA and other relevant acts

Under Companies Act, follow Section 42 and Section 62 and their respective rules.
In SEBI ICDR Regulations,there is a chapter on preferntial basis, you need to follow that.
