08 November 2013 my company is allotting equity shares for which we are uploading Form 2 . please tell me the steps i need to take i allotment and issue of share certificate and stamp duty payment. how to pay stamp duty what are the document required and what is the process of issue of share certificate

10 November 2013 For Allotment of shares, following procedure will be followed:

1. Check share application and allotment money received from proposed allottee.
2. Call a Board Meeting for allotment of shares.
3. After Allotment of shares, file Form-2 with ROC with in 30 days from the date of allotment. Table A and Table B as given in instruction kit will be attached with Form-2.

4. Make application for payment of stamp duty to your concern SDM (Revenue Deptt).

5. Issue of share Certificate within 3 months from the date of allotment as per section 113 of Companies Act, 1956.
6. Make entry in the Register of members of the company.

Please ensure in case of public company, Form-23 is mandatory to file before filing of Form-2. The details of Form-23 is required to be given in Form-2.
