08 February 2010 Can a company issue duplicate share certificates, without the approval of the board?
Can a committee of executives alone be formed to issue duplicate certificates?

09 February 2010 No a company can not issue duplicate share certificates, without the approval of the board.

However if board by a board resolution has committed share tran committee and power to issue duplicate certificate is covered in the terms of reference of tran. committee then committee can issue dupli. certi. without specific approval of board.
