Is there any form to be file in roc for EGM

16 October 2009 Sir,
Recently we have been appointed as a statutory auditor of a pvt ltd company.
We have filled the casual vacancy because previous auditor has resigned.
I want to know is there any form needs to be filed with roc by the company for egm(i.e.the meeting in which auditor is appointed)
I also want the format of intimation letter for appointmnet of auditor in case filling of casual vacancy

16 October 2009 If the resolution is passed as ordinary resolution then nothing needs to be filed by the company. However on acceptance you have to file form 23B within 30days of receipt of communication from the comapny.

18 October 2009 Hi,

Kindly appreciate since you have been appointed to fill the casual vacancy in the EGM there is no need to file form-23B at this point of time.

When company re-appoint you in the AGM then after accepting the office file form-23B with ROC.

Revert if there is any doubt.

13 July 2013 Hi,

Due to some reasons, company was unable to appoint first auditor within 30 days of incorporation.

Can such Auditor be appointed in EGM and then intimated to RoC in form 23B as SRN is mandatory in Annual Filing?

Or is there any alternative way of such appointment with penalty for filing?
